OFFICIAL RULES

This Sweepstakes is intended for participation within the United States and Canada (excluding Quebec) and shall be construed and evaluated according to United States and Canadian law. Do not enter if you have accessed this Sweepstakes from outside the United States or Canada (excluding Quebec).

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

ELIGIBILITY: The Waste Management “Arbor Day Trade Sweepstakes” (“Sweepstakes”) is a trade promotion open only to employees (full or part-time) of a small to medium-sized business (fewer than 250 employees) (“Eligible Business”) who are: (a) authorized to contract for waste disposal services on behalf of their Eligible Business; (b) legal residents of the fifty (50) United States, the District of Columbia, or Canada (excluding Quebec); and (c) of legal age of majority in their jurisdiction ("Eligible Employees" or “Entrants”). Employees, officers, directors of Waste Management National Services, Inc. (“Sponsor”), BI WORLDWIDE (“Administrator”), any business that does not qualify as an Eligible Business (including but not limited to government entities), their respective subsidiaries and affiliated companies, agents, advertising/promotion agencies, individuals engaged in the development, production, or distribution of materials for, or implementation of the Sweepstakes (Sponsor and Administrator collectively referred to herein as the “Sweepstakes Entities”), and the immediate family members (spouse, siblings, children and parents including foster and step-relations) or those living in their same household (whether or not related) as any person in any of the preceding categories are not eligible to enter or win a prize. Void in Quebec and where prohibited or restricted by law.

IMPORTANT NOTICE: Entrants have the responsibility to review and understand their employer’s policies and all applicable laws, rules and regulations (“Laws”) regarding eligibility to participate in trade promotions including this Sweepstakes. If an individual is participating in violation of their employer’s policies or Laws, that individual and its employer may be disqualified from this Sweepstakes, or from receiving the prizes. The prize will be awarded to the individual who is named on the entry as the Entrant to this Sweepstakes, and not to the Entrant’s employer. Sponsor and Administrator disclaim any and all liability and responsibility for disputes related to this matter.

By entering the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules, the information provided by Sponsor in connection with the Sweepstakes, and the decisions of the Sweepstake Entities (and their authorized representatives) which are final and binding with respect to all matters pertaining to this Sweepstakes and all elements thereof.

SWEEPSTAKES PERIOD: The Sweepstakes begins on or about 12:00 AM Central Time (CT) on July 1, 2014 and ends at 11:59 PM CT on September 30, 2014 (“Sweepstakes Period”). The clock on the Sponsor’s server shall be the official time keeping device for this Sweepstakes. All time referenced in connection with the Sweepstakes is Central Time. Entrants are solely responsible for determining the corresponding time zone in their respective jurisdictions; Sweepstakes Entities disclaim all liability or responsibility relating thereto.

HOW TO ENTER: During the Sweepstakes Period, entry differs depending upon whether your Eligible Business is a new or current Waste Management customer. Enter during the Sweepstakes Period, as applicable:

By Creating a New Account (New Customers Only): Eligible Employees of an Eligible Business that is not a customer of Waste Management (as of the start of the Sweepstakes Period) may enter by signing up their Eligible Business for solid waste collection service or a recycling service from Waste Management (“Waste Management Service”) during the Sweepstakes Period. Visit http://www0.wm.com/enrolltowin/ (the “Website”), call 1-877-606-4009 or speak with a local Waste Management representative and sign up for either solid waste collection services or recycling to receive one (1) entry into the Sweepstakes (“entry”). Entrant must open and complete an active new account for their Eligible Business in order to enter via this method. The active new account must be registered in Waste Management’s system (which requires a signed standard 3-year agreement from the Eligible Business) during the Sweepstakes Period to receive an entry into the Sweepstakes. Only new accounts with billing of less than $700 per month are eligible. The following services are excluded from eligibility for entry into this Sweepstakes: Waste Management Recycle by Mail or LampTracker® services including LampTracker®, eScrapTrackerSM, BatteryTracker™ and MercuryTracker™ .

By Mail (Non-WM Customers): To enter without creating a new Waste Management account, Eligible Employees of an Eligible Business that is not a customer of Waste Management (as of the start of the Sweepstakes Period) may enter by mail without signing their Eligible Business up for a Waste Management Service by legibly, hand-printing "Arbor Day Sweepstakes", your full name, company name, full mailing address (no PO Boxes), day and evening phone numbers, and email address, on a 3½" × 5" postcard and mailing it with proper postage to: Arbor Day Sweepstakes, Offer #50893, 7630 Bush Lake Rd, Bldg 4, Minneapolis, MN 55439. Limit one (1) entry per postage-stamped postcard or envelope. Mail-in entries must be postmarked by October 1, 2014 and received by October 8, 2014, or will not be eligible. Proof of sending or submission will not be deemed to be proof of receipt. No mechanical reproductions will be accepted. Sponsor is not responsible for lost, late, illegible, invalid, misdirected, mutilated, incomplete, or postage-due mail/entries, which will be disqualified. Employees of current Waste Management customer are not eligible to enter via mail.

Online (Current Customers Only): Eligible Employees of an Eligible Business that is a customer of Waste Management as of June 30, 2014 with billing of less than $700 per month may enter online at https://www.wm.com/trees.jsp or www.wm.com/arborday.jsp (the "Website") during the Sweepstakes Period by following the on-screen directions to complete and submit the online entry form (“entry”). Entrant must have their Eligible Business’ Waste Management account number to register for sweepstakes. Customers with only the following services are excluded: Waste Management Recycle by Mail or LampTracker® services including LampTracker®, eScrapTrackerSM, BatteryTrackerTM and MercuryTrackerTM .

Limit one (1) entry per person/Eligible Business, regardless of entry method used. Any non-compliant, incomplete, ineligible, or illegible entries are void. All entries become the property of Sponsor and will not be acknowledged or returned. Proof of submission is not proof of receipt. Entrants may not enter the Sweepstakes through a sweepstakes club (or similar method), with multiple identities, accounts, devices, IP addresses, e-mail and/or phone numbers, nor shall Entrants use any other device or artifice to enter. Any suspected use of cheating, fraud, on-line clubs (or similar methods), exchange sites, robotic, automatic, macro, script, programmed or like entry methods as determined in Sponsor’s sole and absolute discretion, will void all such entries by such methods, and disqualify any Entrant suspected of using/benefitting from such methods. Without limiting the foregoing, Sponsor has the right to verify Entrants’ eligibility and compliance with these Official Rules, and on the basis of its investigation, to disqualify any Entrant at any time during or after the Sweepstakes Period (and require immediate prize return if applicable). Sweepstakes Entities assume no responsibility for lost, late, incomplete, inaccurate, delayed, destroyed, damaged , or misdirected entries (in whole or in part).

RANDOM DRAWINGS/ODDS: There will be two (2) potential grand prize winners: one (1) potential grand prize winner will be selected in a random drawing from all eligible entries received from current Waste Management customers; and one (1) potential Grand Prize winner will be selected in a random drawing from all eligible entries received from signing up for a new, qualifying Waste Management Service, and via mail. Drawings will be conducted by the Administrator, an independent judging organization, at the office of BI WORLDWIDE, 7630 Bush Lake Road, Minneapolis, MN on or about 11 AM CT on October 9, 2014. Potential winners will be notified by mail, phone and/or email (in Sponsor’s sole discretion) on or about October 10, 2015. Odds of winning depend on the number of eligible entries received for each drawing.

The potential winner will be required to complete, sign, have notarized and return an Affidavit (Declaration, if in Canada) of Eligibility, Liability and, where lawful, Publicity Release within five (5) days, or else prize will be forfeited and an alternate potential winner will be selected (provided sufficient time exists to verify an alternate potential winner prior to the trip). For Canada residents only, potential winner will be required to correctly answer a timed, mathematical skill-testing question in order to be confirmed as a winner and receive a prize. Winner’s travel guest (who must be at least the age of majority in their jurisdiction of residence) must complete, sign and return a Liability Release and, where lawful, Publicity Release within the time specified by Sponsor.

PRIZES/APPROXIMATE RETAIL VALUE (ARV): Grand Prizes (2 total; 1 for New Customers, 1 for Current Customers): A 4-day/3-night trip to San Francisco, CA from January 22, 2015 – January 25, 2015. ARV of Grand Prize: USD$3,800/CAD$4,140, each. Prize. The prize consists of: round-trip, coach air transportation for winner and one (1) adult guest from a major commercial airport near winner’s residence (as determined by Sponsor) to San Francisco, CA; standard 3-night hotel accommodations (one room, double occupancy), room and tax only; round-trip ground transportation to/from hotel and San Francisco airport; two (2) planned day trips, as determined by Sponsor. If in the sole judgment of the Sweepstakes Entities air travel is not required due to winner’s proximity to San Francisco, CA, winner will receive ground transportation in lieu of air transportation, and no compensation will be given for such substitution. The prize value may vary, depending on the point, date and time of departure; any difference between ARV and actual value will not be awarded. The prize must be accepted as a whole, or will be forfeited in its entirety. Travel must be booked at least 45 days in advance, and travel must be taken January 22, 2015 to January 25, 2015. If the winner cannot travel on the dates specified, the prize will be forfeited in its entirety and an alternate winner selected (time permitting, as determined by Sponsor). All travel arrangements must be made through a travel agent or entity selected by Sponsor. The winner will be responsible for all meals, ground transportation, excursions, gratuities, fuel, parking, beverages, telephone calls and any other incidental costs or expenses not specifically stated herein. Specific air carrier(s) and other trip specifics detailed above are at the sole discretion of the Sponsor or its designee(s). All travel is subject to availability, and other restrictions may apply. Travel must originate and end at the same major gateway airport. The winner and guest must travel together on the same itinerary. Winner and guest will be required to provide valid government issued photo ID and/or passport (as applicable) and any other documentation as required by travel authorities at time of travel, and to obtain and maintain all insurance (including health, liability and any other insurance). The winner acknowledges and agrees that the Sweepstakes Entities are not providers/carriers of transportation, or insurance providers. No changes will be made to travel details once any element(s) of the travel arrangements have been booked. The prize conditions may be added or modified by Sponsor or its designee. Sweepstakes Entities are not responsible for any changes of any element of trip, nor are they liable for any expenses incurred as a consequence of flight changes, cancellation or delays. Sponsor will not replace any lost or stolen tickets, travel vouchers, gift cards, or certificates. Travel is subject to capacity controls, availability, and certain other restrictions, all of which are subject to change. Any unclaimed and/or unused element of the prize, or any element thereof, will remain the property of Sponsor or its designee. The prize restrictions/conditions stated herein are not all-inclusive and the described above may be subject to additional restrictions/conditions, which may be stated in the Affidavit/Declaration (as defined herein), and/or other travel documents. In the event any winner and/or guest engage(s) in behavior that, as determined by Sponsor (or its designee) in their absolute discretion, is obnoxious or threatening, dangerous, harmful, illegal or that is intended to annoy, abuse, threaten or harass any other person, or may cause property damage or loss, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and to send the winner (and guest) home with no further compensation. Any and all applicable local, state, provincial and federal taxes and all expenses not specifically stated herein are solely the responsibility of the winner; the winner is advised to seek independent counsel regarding tax implications of their prize winning. Only the number of prizes stated in these Official Rules is available to be won in the Sweepstakes. The prize, and any element thereof, including any products received as a prize, may not be sold, resold, auctioned, bartered, or placed into any other unauthorized channels of distribution. Any prize pictured in advertising or Sweepstakes materials is for illustrative purposes only and may not be the actual prize awarded.

LIMITATIONS OF LIABILITY: BY PARTICIPATING, ENTRANTS AGREE TO THE FULLEST EXTENT PERMITTED BY LAW, TO RELEASE, DISCHARGE AND HOLD HARMLESS THE SPONSOR, ADMINISTRATOR, OTHER SWEEPSTAKES ENTITIES, AND THEIR PARENT, AFFILIATED AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE DISTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES, ASSIGNS AND AGENTS (“RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL ALLEGED AND/OR ACTUAL CLAIMS, CAUSES OF ACTION, DEMANDS, LOSSES, SETTLEMENTS (WHETHER OR NOT LITAGATION OR OTHER LEGAL PROCEEDINGS ARE COMMENCED), LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, BODILY INJURY, PERSONAL INJURY, DEATH, DISABILITY AND PROPERTY DAMAGE, VIOLATION OF PROPRIETARY, PUBLICITY, PRIVACY OR ANY OTHER RIGHT), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF USE OF THE ENTRY IN WHOLE OR IN PART, THE ACCEPTANCE, POSSESSION, USE, MISDIRECTION, OR MISUSE OF A PRIZE OR ANY ELEMENT THEREOF, PARTICIPATION IN THE SWEEPSTAKES, AND/OR PARTICIPATION IN PRIZE RELATED ACTIVITIES (OF WHATEVER NATURE), AND ACCESS/USE OF ALL WEBSITES, WHETHER OR NOT CAUSED BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. BY ENTERING AND/OR ACCEPTING A PRIZE, ENTRANTS AND ANY WINNER COVENANT TO THE FULLEST EXTENT PERMITTED BY LAW NOT TO SUE ANY RELEASED PARTY OR CAUSE THEM TO BE SUED REGARDING ANY MATTER RELEASED ABOVE, AND NOT TO DISAFFIRM, LIMIT OR RESCIND THIS RELEASE.

A waiver by one or more of the Sweepstakes Entities of any term in these Official Rules does not constitute a waiver of any other provision.

In no event will the Released Parties be responsible or liable for any indirect, incidental, consequential or punitive damages arising out of this Sweepstakes, participation in Sweepstakes and/or prize related activities, the use or misuse of a prize or any element thereof, or access to, and use of any participating Website(s) or the downloading from and/or printing material downloaded from said site(s). Without limiting the foregoing, everything on the Website is provided "AS IS” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

By entering and/or accepting a prize, Entrants and the winners hereby irrevocably consent, where lawful, to the use (but without obligation) by Sponsor (and their affiliated companies and their respective authorized representatives) of their name, business name, image, photographs, videotape, likeness, hometown name, biographical information, voice (personal attributes) as well as any statements made by winner regarding the Sweepstakes or Sponsor (provided they are true), and their entry in whole or in part (including the right to edit, adapt, crop, and modify their entry and/or personal attributes contained therein, or use it in illustrative, or composite form, alone or in conjunction with other works), for publicity, trade, advertising and promotional purposes in all media now known or hereafter developed worldwide, including but not limited to the Internet, mobile devices, and World Wide Web, without additional compensation, and without the right of review, notification or approval.

In the event of noncompliance, if an Entrant is or becomes noncompliant or ineligible during or after the Sweepstakes Period, or a potential winner fails to respond within the time specified, or cannot be reached within two separate attempts using the contact information (in Sponsor’s discretion) provided on the entry, that prize will be forfeited in its entirety and an alternate potential winner will be selected provided sufficient time exists to verify an alternate prior to the trip. Prize or prize notifications that are unclaimed, returned, undeliverable, or otherwise, will be forfeited and will not be awarded or re-awarded.

GENERAL CONDITIONS: Neither Sponsor nor its agencies are responsible for lost, late, misdirected, incomplete, unintelligible, illegible, stolen, returned, or undelivered entries, mail or e-mail, or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Website, or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, incompatibility, deficiencies or errors of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry or other information, nor for the failure to capture any such information. Any person(s) suspected of or who do tamper with or abuse any aspect of the Sweepstakes or Website, as solely determined by the Sponsor, will be disqualified. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION. Sponsor is not responsible for injury or damage to participants' or to any other person's computer or mobile device related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Website. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes, or any element thereof and select a potential winner from eligible non-suspect entries received prior to the action taken, or as otherwise deemed fair and appropriate by Sponsor. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes, and assumes no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction to, or unauthorized use of the Website. In the event of a dispute regarding entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account used to enter at the time of entry will be deemed to be the Entrant and must comply with these rules. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses or phone numbers. If there still remains a dispute, the entry will be deemed to be submitted by the primary individual associated with the account used at time of entry. In the event of any discrepancy, ambiguity, inconsistency, printing or any other error or miscommunication in any advertising, Sweepstakes materials, announcements, and/or any other information (in any and all media/medium) relating to this Sweepstakes, or any element thereof these Official Rules shall govern.

Sweepstakes Entities shall not be liable to Entrants, winners or any other person or entity for failure to execute the Sweepstakes or supply a prize, or any part thereof, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist act, cyber-attack, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any similar or dissimilar event beyond their reasonable control.

DISPUTES: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF TEXAS WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. Entrants are solely responsible for compliance with all applicable Laws including but not limited to tax and similar reporting obligations imposed by the Federal, state and local authorities. As a condition of participating in this Sweepstakes, Entrants agree that any and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, and any other disputes that cannot be informally resolved between the parties arising out of or connected with this Sweepstakes or any element thereof shall be resolved individually, without resort to and waive their rights to claim any form of class action, exclusively before a neutral one person arbitration panel located in Houston, TX.

WINNERS LIST: To obtain a list of winners, mail a U.S. sufficiently self-addressed, stamped envelope to be received by October 31, 2014 to: Waste Management Arbor Day Trade Sweepstakes Winners List, P.O. Box 390347, Minneapolis, MN 55439. Canadian residents may omit return postage.
